Terms of Service
1. Definitions
- “Brosix”, “we”, “us”, “our”: Brosix, Inc., a Delaware company.
- “Site”: brosix.com and related subdomains.
- “Services”: Brosix web, desktop, and mobile applications, web control panel, and related features.
- “Software”: Any Brosix client software.
- “Organization”: A business or team that creates a workspace.
- “Admin”: A user with administrative rights within an Organization.
- “User”: Any individual end user of the Services.
- “You”: The Organization or User, depending on the context.
- “Content”: All Brosix-provided materials in the Services, excluding User Content.
- “User Content”: Information uploaded, shared, or stored by Users through the Services.
2. Acceptance
By using the Site or Services, you agree to these Terms and to our Privacy Policy. If you are using the Services on behalf of an Organization, you confirm you have authority to bind that Organization to these Terms.
3. Changes to These Terms
We may update these Terms from time to time. The updated Terms will be posted with a new “Last updated” date. For material changes, we will make reasonable efforts to notify Admin contacts by email or in-app. Continued use of the Services after the effective date constitutes acceptance.
4. Accounts & Organizations
- Multiple accounts per person are allowed. However, each account is considered a separate User license and billed accordingly.
- The creation and management of accounts, including whether one person holds multiple accounts, is the sole responsibility of the Organization's Admins.
- Brosix is not responsible for confusion, duplication, or data fragmentation resulting from multiple accounts belonging to the same individual.
5. Software License
We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely to access the Services. The Software may update automatically. Reverse engineering is prohibited except where legally allowed.
6. Beta / Preview Features
Beta or preview features are provided “as-is”, may change or be discontinued at any time, and are not covered by standard support or guarantees.
7. Acceptable Use
You agree not to:
- Violate laws or rights of others.
- Upload, share, or transmit unlawful, harmful, or offensive content.
- Send spam or unsolicited messages.
- Impersonate others or misrepresent affiliation.
- Scrape, crawl, or overload the Services with automated requests.
- Attempt unauthorized access, security testing, or circumvention of protections.
- Use Brosix to actively promote or solicit users to switch to competing services without prior written consent from Brosix.
We may investigate violations and suspend or terminate access.
8. User Content
- You retain ownership of your User Content.
- You grant Brosix a limited, worldwide, royalty-free license to store, transmit, and process your User Content solely for providing the Services.
- We do not use User Content for advertising and do not sell it.
- You confirm that you have the necessary rights to share your User Content.
9. Data & Privacy
- Our Privacy Policy describes data practices.
- A Data Processing Agreement (DPA) is available upon request.
- Data is generally hosted in the U.S., with EU hosting available for some plans/settings.
10. Third-Party Services
The Services may integrate with third-party tools (e.g., SSO, payment providers, app stores). We are not responsible for third-party content or availability.
11. Service Changes & Availability
We improve the Services continuously and may change or discontinue features. If we discontinue a paid Service during an active subscription, we will provide a fair pro-rata refund.
12. Fees, Billing & Taxes
- Free Trial - Paid plans typically begin with a 14-day free trial.
- Subscriptions - Billed in advance for the selected period (monthly, quarterly, or annual) and auto-renew until canceled.
- Cancellations - Must be done before the next billing date to avoid charges. Cancellations must be made directly through the Web Control Panel. Requests submitted by email, phone, or live chat cannot be processed for security reasons.
- Charging Window - Your payment method may be charged on or up to 7 days before renewal to allow time to update details.
- Upgrades - Effective immediately. Fees are calculated pro-rata for the remaining period and billed.
- Downgrades - Effective immediately. Pro-rata credit from unused fees is applied to extend your subscription period.
- Non-Refundable - Fees are prepaid and non-refundable (no partial refunds).
- Delinquency - If payment fails, we may suspend or limit the Services until resolved.
- Taxes - Prices exclude taxes. You are responsible for applicable VAT or other taxes unless we are required to collect them.
- Price Changes - Future pricing changes will be communicated in advance where required.
13. Suspension & Termination
We may suspend or terminate accounts for repeated violations, abuse, or non-payment.
You may cancel anytime via the Web Control Panel. Termination takes effect at the end of the paid term (unless credit extends the period, see Downgrades). Free Trials end automatically at the conclusion of the trial period and do not require cancellation.
Admins may export data within a reasonable period if export functionality is available.
14. Disclaimers
The Services are provided “AS IS” and “AS AVAILABLE”. We disclaim all warranties to the fullest extent allowed by law.
15. Limitation of Liability
To the maximum extent permitted by law:
- Brosix is not liable for indirect, incidental, or consequential damages.
- Our total liability for all claims is limited to the greater of:
- (a) the fees paid in the 12 months before the event, or
- (b) $100.
Nothing here excludes liability that cannot be excluded by law.
16. Indemnification
You agree to indemnify Brosix against claims arising from your misuse of the Services, violation of these Terms, or User Content.
17. Intellectual Property & Feedback
Brosix owns all rights to the Services and Content. Any feedback you provide may be used freely without obligation.
18. Export Controls & Sanctions
You must comply with applicable export laws and not use the Services in prohibited jurisdictions.
19. Governing Law & Venue
These Terms are governed by the laws of Delaware, USA. Disputes must be brought in the courts of Wilmington, Delaware.
For EU/UK customers, mandatory local protections and jurisdictions apply where required by law.
20. Miscellaneous
- If a clause is unenforceable, the rest remain valid.
- Failure to enforce a right is not a waiver.
- We may assign these Terms in connection with mergers, acquisitions, or reorganizations.
- These Terms, along with our Privacy Policy and any Additional Terms, form the entire agreement.
